These Terms govern your use of audit services provided by NorthQuest Consulting LLC ('NorthQuest'). By accessing or using the Service, you agree to these Terms.

1. Scope of Service

NorthQuest provides audit services (the 'Service'), which consist of analyzing data and information provided by clients to identify observations and insights. The Service is informational and does not constitute financial, legal, or professional advice.

2. Client Responsibilities

The Client must provide accurate and complete information necessary to perform the audit. NorthQuest will use the information solely to conduct the audit and provide observations.

3. Confidentiality

All non-public information shared between the Client and NorthQuest is treated as confidential. NorthQuest will not disclose client information to third parties except as required by law or with the Client's consent.

4. Intellectual Property

All methodologies, frameworks, and materials used or developed by NorthQuest remain its sole property. The Client is granted a limited, non-exclusive license to use the audit results internally for informational purposes only.

5. Limitation of Liability

NorthQuest is not liable for any indirect, incidental, or consequential damages arising from the use of the audit. Clients assume full responsibility for decisions or actions taken based on the audit.

6. Disclaimer of Warranties

The audit services are provided 'as is' without warranties of any kind, express or implied. NorthQuest makes no representations regarding the accuracy, completeness, or applicability of the audit findings.

7. Termination

Either party may terminate the engagement upon written notice. Confidentiality and intellectual property provisions survive termination.

8. Governing Law & Dispute Resolution

These Terms are governed by the laws of Wyoming. Any disputes shall be resolved exclusively through binding arbitration in Sheridan County, Wyoming, under the rules of the American Arbitration Association.

9. Force Majeure

Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, pandemics, or government actions. The affected party must promptly notify the other and make reasonable efforts to resume performance.

10. Entire Agreement & Modifications

These Terms constitute the entire agreement regarding the audit service. Modifications are valid only if in writing and accepted by both parties. NorthQuest may update these Terms with notice; continued use of the Service constitutes acceptance of the updated Terms.
