Audit Terms

Terms for NorthQuest audit services.

1. Scope of Service

NorthQuest provides Rapid NOI Audit services ('the Service') which analyze client-provided data to identify potential Net Operating Income opportunities. The Service delivers informational observations and does not constitute financial, legal, or professional advice.

2. Guarantee & Payment Terms

NorthQuest guarantees identification of minimum fifty thousand dollars ($50,000) in annual NOI opportunities for properties of 100+ units. If minimum opportunities are not identified in the audit findings, the audit fee is waived entirely. Client pays the $10,000 fee only if the guarantee is met. This guarantee applies only to specific, actionable opportunities identified in the delivered report. Payment is due within 10 days of invoice following successful audit delivery.

3. Client Responsibilities & Timeline

Clients must provide accurate and complete T-12 financial statements and current rent roll data. NorthQuest delivers audit reports within 3 business days of receiving complete data and signed agreement. NorthQuest uses client information exclusively for audit analysis.

4. Confidentiality

All non-public information shared between Client and NorthQuest remains confidential. NorthQuest does not disclose client information to third parties except as required by law or with Client consent.

5. Intellectual Property

Methodologies, frameworks, and materials developed by NorthQuest remain its intellectual property. Clients receive a limited, non-exclusive license to use audit findings internally for informational purposes.

6. Limitation of Liability

NorthQuest is not liable for indirect, incidental, or consequential damages from audit use. Clients assume full responsibility for decisions made based on audit findings.

7. Disclaimer of Warranties

Audit services are provided 'as is' without warranties. NorthQuest makes no representations regarding accuracy, completeness, or applicability of findings beyond the guaranteed minimum opportunity identification.

8. Termination

Either party may terminate engagement with written notice. Confidentiality and intellectual property provisions survive termination.

9. Governing Law & Dispute Resolution

These Terms are governed by Wyoming law. Disputes are resolved through binding arbitration in Sheridan County, Wyoming, under American Arbitration Association rules.

10. Force Majeure

Neither party is liable for performance failure due to events beyond reasonable control, including natural disasters, pandemics, or government actions. Affected parties must notify promptly and resume performance reasonably.

11. Entire Agreement & Modifications

These Terms constitute the entire audit service agreement. Modifications require written acceptance by both parties. NorthQuest may update Terms with notice; continued service use constitutes acceptance of updated Terms.
